This End-User License Agreement ("EULA") is a binding legal agreement between you, the end-user ("Licensee" or "You"), and Fuel Flow Integrations ("Licensor," "We," "Us," or "Our") concerning Your use of the Fuel Flow Integrations proprietary software application ("Application"), which includes any associated media, printed materials, and "online" or electronic documentation. By accessing, installing, or using the Application, You agree to be bound by the terms of this EULA. If You do not agree to the terms of this EULA, do not install or use the Application.
Subject to the terms and conditions of this EULA, Fuel Flow Integrations grants You a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Application solely for Your internal business operations within the oil, gas, and fuel services and delivery industry. This license is specifically for the purpose of automating and streamlining Your billing, invoicing, and related financial workflows, including integration with QuickBooks, based on the custom solution designed and implemented for Your specific needs. You agree to use the Application only for the specific modules and functionalities for which You have subscribed and paid.
2.1. The Application is designed to provide highly customized workflow automation and billing solutions. Your specific license and access will be limited to the functionalities and integrations agreed upon during Your onboarding and configuration process.
2.2. Fuel Flow Integrations operates on a "pay-for-what-you-need" model. You will only be charged for the specific modules, integrations (e.g., QuickBooks), and features that are configured and active for Your account. Any additional features or expanded usage will require a separate agreement or modification to Your service plan.
You agree not to, and You will not permit others to:
4.1. The Application integrates with QuickBooks via Intuit's authorized APIs. By using this integration, You authorize Fuel Flow Integrations to access and process Your QuickBooks data as necessary to provide the agreed-upon services (e.g., syncing invoices, payments, customer data).
4.2. Fuel Flow Integrations is committed to protecting Your data privacy. We will only access, use, store, and transmit Your data as necessary to provide the Application's services and in accordance with our Privacy Policy, which is available at Pricacy Policy and incorporated by reference into this EULA. You are responsible for ensuring that Your use of the Application and the processing of Your data through it complies with all applicable privacy laws and regulations.
The Application, including all intellectual property rights therein (such as copyrights, trademarks, trade secrets, and patents), is and shall remain the sole and exclusive property of Fuel Flow Integrations or its licensors. This EULA grants You a limited license to use the Application, not ownership. All rights not expressly granted to You in this EULA are reserved by Fuel Flow Integrations.
This EULA is effective until terminated. Your rights under this EULA will terminate automatically and without notice from Fuel Flow Integrations if You fail to comply with any term(s) of this EULA. Additionally, Fuel Flow Integrations may terminate this EULA and Your access to the Application if Your subscription or service agreement is terminated or expires. Upon termination, You must cease all use of the Application.
THE APPLICATION IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. FUEL FLOW INTEGRATIONS DOES NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DATA WILL BE SECURE OR NOT LOST. YOU ASSUME ALL RISKS ASSOCIATED WITH THE USE OF THE APPLICATION.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FUEL FLOW INTEGRATIONS BE LIABLE FOR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE APPLICATION, EVEN IF FUEL FLOW INTEGRATIONS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL FUEL FLOW INTEGRATIONS' TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT PAID BY YOU FOR THE APPLICATION OR SERVICES DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Fuel Flow Integrations, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to Your violation of this EULA or Your use of the Application.
This EULA shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Lubbock, Texas, for any disputes arising out of or relating to this EULA.
This EULA, together with any applicable service agreements or subscription terms, constitutes the entire agreement between You and Fuel Flow Integrations regarding the use of the Application and supersedes all prior or contemporaneous understandings and agreements, whether written or oral, regarding such subject matter.
Fuel Flow Integrations reserves the right to modify this EULA at any time. We will notify You of any material changes by posting the updated EULA on our website or through the Application. Your continued use of the Application after such notice constitutes Your acceptance of the revised EULA.
